Terms and Conditions

Welcome to Need Network. These Terms and Conditions ("Terms") govern your access to and use of the Need Network mobile application and website (neednetwork.in) (collectively, the "Platform"), owned and operated by Kutami Private Limited ("Company", "we", "us", or "our").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

1. Definitions

  • "Platform" means the Need Network mobile application and website
  • "User" means any person who accesses or uses the Platform
  • "Seller" means a User who posts listings for properties, products, or services
  • "Promoter" means a User who shares listings to earn commission
  • "Listing" means any property, product, or service posted on the Platform
  • "Commission" means the percentage of sale value payable to Promoters
  • "Services" means all services provided through the Platform

2. Eligibility

To use our Platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Platform under applicable laws
  • Provide accurate and complete registration information

By using the Platform, you represent and warrant that you meet all eligibility requirements.

3. Account Registration

3.1 Account Creation

  • You must create an account to access most features
  • Provide accurate, current, and complete information
  • One account per user; multiple accounts are prohibited
  • You are responsible for maintaining account confidentiality

3.2 Account Security

  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account
  • We are not liable for losses due to unauthorized account access

3.3 Account Verification

  • We may require verification of your identity or business
  • Provide requested documents promptly
  • False or misleading information may result in account termination

4. User Responsibilities

All Users agree to:

  • Provide accurate and truthful information
  • Use the Platform only for lawful purposes
  • Not post false, misleading, or fraudulent content
  • Not harass, abuse, or harm other users
  • Not attempt to gain unauthorized access to the Platform
  • Not use automated systems to access the Platform
  • Comply with all applicable laws and regulations
  • Not infringe on intellectual property rights
  • Not transmit viruses or malicious code

5. Seller Terms

5.1 Listing Requirements

Sellers must:

  • Have legal right to sell listed items
  • Provide accurate descriptions and images
  • Set fair and honest pricing
  • Disclose all material defects or issues
  • Respond promptly to enquiries

5.2 Listing Guidelines

Listings must not include:

  • Illegal products or services
  • Counterfeit or stolen goods
  • Hazardous materials
  • Items infringing intellectual property
  • Misleading or false information
  • Inappropriate or offensive content

5.3 Commission Obligations

  • Sellers agree to pay the commission rate set for each listing
  • Commission is payable upon successful completion of a deal
  • Failure to pay commission may result in account suspension

5.4 Listing Validity

  • Listings are active for 60 days by default
  • Expired listings can be renewed
  • Listings may be removed for policy violations

6. Promoter Terms

6.1 Promotion Guidelines

Promoters must:

  • Share listings accurately without modification
  • Not make false claims about products/services
  • Disclose their role as a promoter when required
  • Follow ethical marketing practices

6.2 Commission Earning

  • Commission is earned only on successful, verified deals
  • Commission rates are set by Sellers
  • Commission is credited after deal confirmation
  • False or fraudulent commission claims will result in account termination

6.3 Prohibited Activities

Promoters must not:

  • Spam or engage in unsolicited marketing
  • Use deceptive practices to generate leads
  • Misrepresent themselves or the listings
  • Interfere with other Promoters' activities

7. Transactions and Payments

7.1 Platform Role

  • Need Network is a facilitator connecting Sellers and Promoters
  • We are not a party to transactions between Users
  • Transactions are conducted directly between Sellers and Buyers

7.2 Payment Processing

  • All payments are processed through Razorpay
  • We do not store credit card or banking details
  • Users agree to Razorpay's terms and conditions

7.3 Commission Payouts

  • Commissions are paid to Promoters after deal verification
  • Minimum withdrawal thresholds may apply
  • Payouts are made to the linked bank account

7.4 Taxes

  • Users are responsible for their own tax obligations
  • We may deduct TDS as required by law
  • Consult a tax professional for specific advice

8. Intellectual Property

8.1 Platform IP

  • All Platform content, design, and technology are owned by Kutami Private Limited
  • The Need Network name, logo, and branding are our trademarks
  • You may not copy, modify, or distribute our intellectual property

8.2 User Content

  • You retain ownership of content you post
  • You grant us a non-exclusive license to use, display, and distribute your content on the Platform
  • You represent that you have rights to the content you post

8.3 Copyright Infringement

If you believe content infringes your copyright, contact us at legal@neednetwork.in with:

  • Description of the copyrighted work
  • Location of the infringing content
  • Your contact information
  • Statement of good faith belief
  • Signature (physical or electronic)

9. Disclaimers

9.1 Platform Provided "As Is"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

9.2 No Guarantee

We do not guarantee:

  • Uninterrupted or error-free service
  • Accuracy of listings or user content
  • Results from using the Platform
  • That the Platform will meet your requirements

9.3 User Content

We do not verify all user-generated content. Users are responsible for conducting their own due diligence before transactions.

9.4 Third-Party Dealings

We are not responsible for transactions between Users or with third parties. Disputes should be resolved directly between the parties involved.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities
  • We are not liable for actions or omissions of other Users

11. Indemnification

You agree to indemnify and hold harmless Kutami Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your user content

12. Termination

12.1 By You

You may terminate your account at any time through the app settings or by contacting us.

12.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees or commissions
  • Extended inactivity
  • Any reason at our discretion with notice

12.3 Effect of Termination

Upon termination:

  • Your access to the Platform will cease
  • Your listings will be removed
  • Pending commissions will be processed per our policies
  • Provisions that should survive termination will remain in effect

13. Dispute Resolution

13.1 Informal Resolution

Before filing any claim, contact us at legal@neednetwork.in to attempt informal resolution.

13.2 Arbitration

Disputes that cannot be resolved informally shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Tirupati, India.

13.3 Governing Law

These Terms are governed by the laws of India.

13.4 Jurisdiction

Subject to arbitration provisions, courts in Tirupati, India shall have exclusive jurisdiction.

14. Modifications

We may modify these Terms at any time. We will notify you of material changes through:

  • Email notification
  • In-app notification
  • Notice on the Platform

Continued use after changes constitutes acceptance of modified Terms.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Platform.

15.2 Severability

If any provision is found unenforceable, other provisions remain in effect.

15.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign these Terms without our consent. We may assign our rights without restriction.

15.5 Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control.
